By accessing or using Vector Lex (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you and Vector Lex ("we," "our," or "us"). We may update these Terms from time to time, and your continued use of the Service after changes are posted constitutes acceptance.

2. Description of Service

Vector Lex is a document intelligence platform that allows users to upload, organize, and query legal documents using artificial intelligence. The Service processes your documents, indexes their content, and provides answers grounded in your uploaded source material with citations.

3. Account Registration

To use the Service, you must create an account with a valid email address and a password meeting our security requirements. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activity that occurs under your account
  • Notifying us immediately of any unauthorized use

You must be at least 18 years old to create an account and use the Service.

4. Your Content

You retain ownership of all documents and content you upload to the Service ("Your Content"). By uploading content, you grant us a limited license to process, store, index, and display Your Content solely to provide the Service to you.

You represent and warrant that:

  • You have the right to upload Your Content and grant us the above license
  • Your Content does not infringe on the intellectual property or privacy rights of any third party
  • Your Content does not contain malware, viruses, or other harmful code

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or court order
  • Upload content that you do not have the legal right to possess or share
  • Attempt to gain unauthorized access to other users' accounts or data
  • Interfere with or disrupt the Service or its infrastructure
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to develop a competing product
  • Use automated tools to scrape or extract data from the Service beyond normal use

We reserve the right to suspend or terminate accounts that violate these terms.

6. AI-Generated Output

The Service uses artificial intelligence to analyze documents and generate responses. While we strive for accuracy and provide source citations for verification, AI-generated output may contain errors, omissions, or inaccuracies. You are responsible for independently verifying all output before relying on it for any purpose.

AI-generated output does not constitute legal advice, professional opinion, or any form of certified analysis.

7. Availability and Modifications

We strive to keep the Service available but do not guarantee uninterrupted access. We may modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation.

8. Fees and Payment

The Service may offer free and paid tiers. If you subscribe to a paid plan, you agree to pay all applicable fees. We reserve the right to change pricing with reasonable notice. Fees are non-refundable except as required by law or as explicitly stated in a specific offer.

9. Intellectual Property

The Service, including its design, code, features, and documentation, is owned by Vector Lex and protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.

10. Limitation of Liability

To the maximum extent permitted by law, Vector Lex and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or related to your use of the Service.

Our total liability for any claim arising under these Terms shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free, secure, or uninterrupted.

12. Indemnification

You agree to indemnify and hold harmless Vector Lex from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

13. Termination

You may close your account at any time by contacting us. We may suspend or terminate your account if you violate these Terms or for any other reason at our discretion, with notice where practicable.

Upon termination, your right to use the Service ceases immediately. We may retain or delete Your Content in accordance with our Privacy Policy.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Arizona, United States, without regard to conflict-of-law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Maricopa County, Arizona, and you consent to the jurisdiction of those courts.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
